We advise on the structuring of acquisitions, drafting of preliminary and future property agreements, and real estate financing arrangements — including loan, mortgage, and facility agreements.

Our team also supports clients in negotiating and drafting lease agreements, representing both landlords and tenants, and advising on construction and infrastructure contracts. This includes construction management, design, EPC contracts, and the procurement of technological equipment, as well as a wide range of works and services agreements.

In addition, we provide strategic advice on town-planning, licensing, and property registration matters, ensuring that our clients’ projects are fully compliant with all local regulatory requirements.

Our Real Estate and Construction recent experience

  • Advising a major Russian food production company on acquisition of agricultural land plots, buildings, transport and equipment in Lipetsk Oblast (amount of transaction approx. USD 30 million) from a Russian group of companies and individuals. Carrying out legal due diligence of more than 60 land plots and immovable property located thereon; structuring the proposed deal; controlling performance of completion obligations by the Seller; drafting and negotiating a set of transaction documents (including agreements on sale-purchase of future objects; SPAs with respect to LLC participatory interest and JSC shares)
  • Advising on an investment project to build a seed processing and pesticide plant in Russia; legal due diligence of land plots in Krasnodar Krai, Stavropol Krai, and the Republic of Adygey; negotiations with local authorities on the allocation of rights to land plots, rezoning, and development of town-planning documentation; drafting memoranda of understanding and investment agreements with municipal and regional authorities; advising on matters relating to the conclusion of connection agreements and obtaining specifications for connecting the plant to utilities systems, negotiations with power companies
